Business name or company?

Registering a business name

A business-name registration records a name under which a person or persons carry on business. It should not be described as the same thing as incorporating a limited company. Read our business-name page if that is the intended structure. BRS explains the distinction in its FAQs. [S39]

Incorporating a company

A private limited company is a separate structure with its own ownership and administration records. Decisions about liability, shareholding, tax treatment or an investor agreement may need qualified professional advice. Our support helps prepare the agreed filing; it does not replace that advice.

A preparation plan for diaspora and foreign founders

List the intended activity, proposed owners, directors where applicable, identity records, contact information and Kenyan operating address. Identify the tax, banking and immigration questions at the outset. Different founders may need different records or professional input.

What follows registration

The business may need tax obligations, licences, beneficial ownership records, accounts and ongoing filings according to its structure and activity. A foreign founder should separately check immigration permission before undertaking work. Registration is a starting point, not a statement that every permission is complete.
